The Customer shall indemnify, defend, and hold harmless Save Point Media, its officers, directors, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to any allegation that Customer-provided content infringes the intellectual property rights, privacy rights, or any other rights of any third party.
9.4 AI-Generated Content
The Customer acknowledges that Save Point Media utilizes artificial intelligence tools (including but not limited to Murf.ai, Adobe Firefly, and Veo by Google) in the production of certain deliverables. The intellectual property status of AI-generated content varies by jurisdiction and is subject to evolving legal frameworks. Save Point Media makes no representations or warranties regarding the patentability, copyrightability, or exclusive ownership of AI-generated elements within deliverables. The Customer is responsible for evaluating the suitability of AI-generated content for their intended use.
10. Confidentiality
Each party (“Receiving Party”) agrees to hold in confidence all non-public information disclosed by the other party (“Disclosing Party”) that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure (“Confidential Information”).
Confidential Information includes, but is not limited to, the Customer’s unreleased marketing materials, brand strategies, product plans, financial information, trade secrets, and any files or content submitted to Save Point Media. The Receiving Party shall:
- Use Confidential Information solely for the purpose of performing obligations or exercising rights under this Agreement;
- Not disclose Confidential Information to any third party without the Disclosing Party’s prior written consent, except to employees, contractors, or agents who have a need to know and are bound by confidentiality obligations no less protective than those herein;

BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATIONS MAY NOT APPLY TO THE CUSTOMER IN FULL. IN SUCH JURISDICTIONS, SAVE POINT MEDIA’S LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.
14. Force Majeure

The affected party shall provide prompt notice to the other party and use commercially reasonable efforts to mitigate the impact of the force majeure event. If a force majeure event continues for more than sixty (60) days, either party may terminate this Agreement upon written notice without liability.

The costs of mediation shall be shared equally by the parties.
15.4 Jurisdiction
If mediation is unsuccessful, any legal proceedings shall be brought exclusively in the courts of competent jurisdiction located in the Province of Ontario, Canada, and each party irrevocably submits to the exclusive jurisdiction of such courts.
